Terms of Service

1. Acceptance of Terms

By registering for or using DMNexa ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Pixel Plugins ("we", "us", "our"), the operator of DMNexa.

2. Description of Service

DMNexa is an AI-powered order management tool for small businesses. It helps sellers organize customer requests, process conversations, collect missing order details, generate order drafts for seller review, manage order status, and operate subscription billing through Stripe. The Service uses AI to process seller setup, order notes, and conversations and suggest order information.

3. Eligibility

To use DMNexa you must:

  • Be at least 18 years of age.
  • Be operating a legitimate business and using DMNexa for business purposes only.
  • Have the legal authority to enter into this agreement on behalf of your business.
  • Not be prohibited from using the Service under applicable law.

4. Instagram and Meta Platform Integration

DMNexa integrates with Meta's Instagram Messaging API. By connecting your Instagram Business account, you:

  • Represent that you own or have the authority to connect the Instagram Business account.
  • Agree to comply with Meta's Terms of Service, Instagram's Terms of Use, and Meta's Developer Policies as they apply to your use of DMNexa.
  • Acknowledge that you are responsible for your customers' experience and for ensuring they have appropriate notice that their messages may be processed by DMNexa.
  • Understand that DMNexa's access to your Instagram account is subject to Meta's approval and may be revoked by Meta at any time.

5. AI-Generated Content

DMNexa uses AI to generate order drafts and suggested replies. You acknowledge and agree that:

  • All AI-generated drafts are suggestions only and require your review before use.
  • AI outputs are not guaranteed to be accurate, complete, or error-free.
  • You are solely responsible for reviewing, correcting, and confirming all orders before acting on them or communicating them to customers.

6. Seller Responsibilities

As a seller using DMNexa, you are responsible for:

  • Using the Service only for legitimate business purposes.
  • Ensuring you have the right to process your customers' information through DMNexa.
  • Giving customers appropriate notice before importing, pasting, or connecting customer conversations for processing by DMNexa and AI tools.
  • Complying with all applicable laws regarding data privacy, consumer protection, and business operations in your jurisdiction.
  • The legality of your business, fulfillment, food safety or allergen handling where applicable, pricing, refunds, delivery, and customer communications.
  • Not using DMNexa to spam, harass, or contact individuals who have not engaged with your business.
  • Maintaining the confidentiality of your login credentials.
  • The accuracy of orders you confirm and communicate to customers.

7. Prohibited Uses

You may not use DMNexa to:

  • Engage in any illegal activity or facilitate illegal transactions.
  • Sell or promote illegal goods or services.
  • Spam, harass, or send unsolicited commercial messages.
  • Collect or store full payment card numbers, CVV, SSNs, bank account details, or other sensitive financial identifiers through the Service.
  • Use DMNexa for emergency, medical, or other high-risk decisions.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Attempt to circumvent or interfere with the security or proper functioning of the Service.
  • Resell or redistribute access to the Service without authorization.

8. Subscription and Payment

  • DMNexa is offered on a monthly subscription basis. Current pricing is displayed at dmnexa.com.
  • Trials, if offered, are limited to the trial period and usage limits shown in the product.
  • Subscription fees are billed in advance each month.
  • Payment card information is processed by Stripe. DMNexa does not store full payment card numbers or CVV.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period and you retain access until then.
  • We do not provide refunds for partial months or unused portions of a subscription, except as required by applicable law.
  • We reserve the right to change pricing with at least 30 days notice to registered sellers.

9. Customer Data and Privacy

You retain responsibility for customer data you provide to DMNexa, including imported conversations, pasted messages, order notes, addresses, photos, preferences, and allergy or dietary notes. You grant us a limited license to process that data to provide, secure, troubleshoot, and improve the Service as described in our Privacy Policy. You must not submit data you do not have the right to process through DMNexa.

10. Intellectual Property

DMNexa and all original software, design, and content are owned by Pixel Plugins and protected by applicable intellectual property laws. You retain ownership of your business data, order records, and content you input into the Service. You grant us a limited license to process and store your data solely for the purpose of providing the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF AI-GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXEL PLUGINS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold Pixel Plugins harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any third party's rights.

14. Suspension and Termination

We may suspend or terminate your account if you violate these Terms, create abuse, security, payment, platform, or legal risk, or if required by law. You may cancel at any time by contacting hello@dmnexa.com. Upon termination, your access ends and we handle your data as described in our Privacy Policy.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California, and you consent to personal jurisdiction in such courts.

16. Changes to These Terms

We may update these Terms. When Terms or Privacy versions change, registered sellers may be asked to review and accept the current versions before continuing to use the seller dashboard.
